1. Agreement to Terms

These Terms and Conditions (“Agreement”) constitute a legally binding agreement between SealPact, LLC (“SealPact,” “we,” “us,” or “our”) and you (“User,” “you,” or “your”), governing your access to and use of the sealpact.com website and all related products and services (collectively, the “Website” or “Services”).

2. Definitions

  • “SealPact” refers to the act of digitally signing, stamping, or sealing a document using software developed or licensed by SealPact, LLC.
  • “User” refers to any individual or entity accessing or utilizing the Services, whether as a paid subscriber or otherwise.

3. Eligibility & Account Responsibility

Users must be at least 18 years of age to register or use the Services. By using the Website, you affirm that you meet this requirement.

You are solely responsible for maintaining the confidentiality and security of your account credentials and for all activities occurring under your account. SealPact reserves the right to monitor accounts and may suspend or terminate any account that violates these Terms or harms the reputation or integrity of the Services.

4. Fees, Billing, and Payment Terms

You agree to pay all applicable fees for the Services, as outlined at the time of purchase. Charges may recur depending on the subscription plan selected. All payments are nonrefundable unless explicitly stated otherwise.

SealPact reserves the right to alter pricing, refuse orders, or request identity verification for suspicious or high-risk transactions. Subscription cancellations will take effect at the end of the current billing cycle.

5. Accuracy of Website Content

We strive to ensure the accuracy of content presented on the Website but do not warrant that such information is error-free, complete, or current. SealPact reserves the right to correct any errors and update content without prior notice.

6. Data Backups

SealPact is not responsible for any loss of content or data uploaded or processed through the Services. Users are solely responsible for maintaining independent backups of their documents and information.

SealPact is not a document archival platform. Users are solely responsible for retaining original versions of sealed documents. We do not guarantee the long-term availability, access, or retention of any document or associated metadata.

7. External Links

The Website may contain links to third-party websites or services. These links do not constitute an endorsement by SealPact. We are not liable for any content, services, or products available on or through such third-party sites.

8. Prohibited Uses

You agree not to use the Website or Services for any unlawful, fraudulent, harassing, or abusive purposes, or in any manner that violates applicable laws, infringes intellectual property rights, or interferes with the operation of the Website.

9. Intellectual Property

All intellectual property associated with the Website and Services, including but not limited to trademarks, logos, source code, and content, is owned by or licensed to SealPact, LLC. You may not reproduce, distribute, or create derivative works without express written permission.

10. Disclaimer of Warranty

The Services are provided on an “as is” and “as available” basis, without warranty of any kind, express or implied. SealPact disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

SealPact does not warrant that the Services will be secure, uninterrupted, or error-free. You are solely responsible for verifying that the Services meet your professional, legal, or jurisdictional requirements.

SealPact, LLC does not review, validate, or verify the technical accuracy, compliance, or sufficiency of any sealed or signed documents. The Services do not replace the professional judgment of licensed design professionals or fulfill any statutory requirement for third-party review.

Jurisdictional Acceptance

SealPact makes no representation or warranty that its digital seals or signatures will be accepted by any particular licensing board, regulatory agency, or legal authority. It is the sole responsibility of the User to determine the legal sufficiency and enforceability of any document sealed using SealPact.

Third-Party Dependencies

SealPact may rely on third-party APIs and hosting services. We disclaim all responsibility for the performance, availability, or security of any such third-party service providers.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SEALPACT’S (INCLUDING ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, AND LICENSORS) TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU (THE INDIVIDUAL USER ACCOUNT) TO SEALPACT IN THE TWELVE (12) MONTHS IMMEDIATELY PRIOR TO THE EVENT GIVING RISE TO SUCH CLAIM.

IN NO EVENT SHALL SEALPACT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12. Indemnification

You agree to indemnify, defend, and hold harmless SealPact, LLC and its affiliates, officers, directors, employees, and agents from and against any and all third-party claims, demands, liabilities, losses, damages, costs, or expenses, including reasonable attorneys’ fees, arising from or related to:

  • Your use or misuse of the Website or Services;
  • Your violation of these Terms or applicable law;
  • Any content, data, or documents submitted, sealed, signed, or transmitted via SealPact;
  • Any claim or regulatory action arising from the contents, quality, legality, accuracy, or enforceability of any document sealed using the Services;
  • Any legal dispute involving a third party that results in action or inquiry against SealPact, even if SealPact was not a party to the original transaction.

13. Intentions and User Responsibilities

SealPact is designed to provide a streamlined, transparent method of applying digital signatures or seals to documents. However, it is the responsibility of the User to ensure the accuracy, completeness, and contractual enforceability of any sealed document.

SealPact does not mediate disputes between users or third parties and disclaims responsibility for the legal or professional consequences of any information submitted to or delivered through its Services.

14. Enterprise Custom Use

Organizations utilizing SealPact for more than fifty (50) Users, or integrating SealPact into internal systems or workflows at scale, are encouraged to enter into a separate Enterprise Agreement with SealPact, LLC. Such agreements may define custom service levels, integration support, compliance requirements, and onboarding terms.

15. Severability and Survival of Limitations

If any provision of this Agreement is held to be invalid, unlawful, or unenforceable, the remaining provisions shall remain in full force and effect. Notwithstanding the foregoing, the parties expressly agree that the limitations of liability and disclaimers of warranties contained herein are independent and shall survive and continue to apply even if any exclusive remedy fails of its essential purpose.

16. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Connecticut, United States. Any disputes arising out of or related to this Agreement shall be brought exclusively in the state or federal courts located in Connecticut. You hereby consent to personal jurisdiction and waive any right to trial by jury or to participate in class actions.

17. Assignment

You may not assign, transfer, or sublicense your rights under this Agreement without prior written consent. SealPact may assign its rights and obligations at its discretion, including in the event of a merger, acquisition, or sale of assets.

18. Modifications to Terms

We reserve the right to amend or update these Terms at any time. Changes become effective upon posting. Continued use of the Services constitutes acceptance of any revised Terms.

19. Acceptance of Terms

By accessing or using the Website or Services, you confirm that you have read, understood, and agreed to be bound by these Terms of Service. If you do not agree, you must cease use of the Services.
